Quantum Mindframe Release of Liability and Group Coaching Services Agreement

Preamble

Please read this Release of Liability and Group Coaching Services Agreement carefully before participating in Group Coaching. If you do not accept and agree to be bound by this Release of Liability and Group Coaching Services Agreement carefully you must not participate in Group Coaching and must not participate in or use any of Quantum Mindframe’s services.

Thank you for your interest in Quantum Mindframe. Participating in Quantum Mindframe coaching requires that you execute this Release of Liability and Group Coaching Agreement before you can be accepted into Group Coaching. This Release of Liability and Group Coaching Agreement is intended to be, and should be construed by you, as a waiver of any and all liability against QUANTUM MINDFRAME, Esmeralda Verma, the staff of Group Coaching, the coaches, course leaders of Group Coaching, the owners and agents of the premises where Group Coaching is conducted, as a result of any act, action, or omission in any way related to Group Coaching, including, but not limited to, its design, planning, execution, and purpose.

Throughout this document, this Release of Liability and Group Coaching Services Agreement may be collectively referred to as “Release.”

Throughout this Release, QUANTUM MINDFRAME and you may be collectively referred to as “the Parties.” You may also be referred to as the “participant.” Throughout this Release, QUANTUM MINDFRAME, Esmeralda Verma, the staff of Group Coaching, the coaches, course leaders of Group Coaching, the owners and agents of the premises where Group Coaching is conducted, may be collectively referred to as QUANTUM MINDFRAME.

Throughout this Release any coaching session with QUANTUM MINDFRAME including but not limited to Brainspotting Coaching may be collectively referred to as Group Coaching.

By clicking to accept or agree to the Release of Liability and Group Coaching Services Agreement when this option is made available to you, you accept and agree to be bound and abide by this Release.

You agree that the electronic format of the Release of Liability and Group Coaching Services Agreement does not in any way affect their validity or enforceability and you agree that QUANTUM MINDFRAME may communicate with you electronically for all aspects of your participation in Group Coaching .

Group Coaching Description

Group Coaching consists of psychoeducation, theraplay, mind-body movement exercises, guided imagery, brainspotting, soundbath, grounding activities, sharing and connecting with group members, and spiritual ceremonies. Group Coaching involves conversation, assignments, recommendations, and emotional processes that may be intense and challenging at times. While these assignments and recommendations are designed to support your personal growth, participation in any suggested activities is voluntary and at your own discretion.

Informed Consent and Waiver for Brainspotting

Do NOT participate in Group Coaching if you have one of the conditions listed below. Group Brainspotting is not recommended for individuals with the following conditions:

Bipolar Disorder
Schizophrenia
History of Seizures
History of Suicide Attempts
Current Suicidal Ideation
History or Current Self-harm
History of Homicide attempts
Current Homicidal Ideation
Personality Disorders
Current Alcohol Use Disorder
Current Substance Use Disorder
Currently in a domestic violence situation

Esmeralda Verma is a Certified Brainspotting Practitioner. While Brainspotting is primarily a therapeutic modality, it can be utilized in coaching to enhance performance, address limiting beliefs, or facilitate personal growth. You understand that Esmeralda Verma does not use Brainspotting to treat psychological disorders or trauma in Group Coaching.

1) Risks of Brainspotting

You understand that receiving Brainspotting might alter testimony in legal cases. Brainspotting can alter how memories are processed and stored, potentially affecting your recall and description of events in legal settings. If you are involved in a legal case, postponing Brainspotting until the case is resolved might be beneficial.

Many people will experience temporary high emotional activation and strong physical sensations during Brainspotting. Following Brainspotting, you may feel sleepy or tired. The processing of incidents/material may continue for the next few days or weeks, and other dreams, memories, flashbacks, feelings, etc. may continue to surface. When/if this happens, it is part of the Brainspotting process of releasing emotional charge from the brain and body, allowing for the integration of past memories in the nervous system.

It is recommended to prepare for Brainspotting like you would for an intense workout routine. The brain will work extra hard during Brainspotting. It is recommended to make every effort to prioritize a good night of sleep the night before Brainspotting, stay hydrated the day before and the day of Brainspotting, and eat a high-protein snack (as approved by your medical doctor) before Brainspotting. Since feelings of tiredness and sleepiness are common side effects following Brainspotting, these pre-care strategies can help reduce fatigue-related symptoms.

After a Brainspotting you may feel extra tender, vulnerable, sleepy, tired, and continue to experience some levels of activation, due to the emotional content that may be processed in your session. It is recommended you do NOT drive or operate machinery for at least 30 minutes after Brainspotting and that you wait to resume these activities until you feel fully alert and capable. It is recommended that you do not plan to attend any important events or activities immediately after Brainspotting. It is recommended that you set aside time after Brainspotting to journal, reflect, relax, and process everything that came up for you during Brainspotting. Engaging in a mindfulness activity, having another high-protein snack (as approved by your medical doctor), and having a trusted support person to talk to immediately following Brainspotting can be helpful.

Certain Groups who should not or may not want to participate without a discussion with a medical provider. Brainspotting is not therapy nor a substitute for medical treatment, and should not be used as treatment for mental health or mental illness, or as a replacement for any type of therapy or medical treatment. Brainspotting is not advised for those with severe mental illness, bipolar disorder or psychosis, seizure disorders, or anyone with a family history of aneurisms. Groups currently taking any prescription medications are advised to consult with their prescribing physician prior to beginning any Brainspotting, and anyone under the influence of legal or illegal drugs is advised to wait until any such drugs have worn off completely.

If you are pregnant, it is recommended you consult with your OBGYN and gain approval prior to beginning any Brainspotting. Persons with asthma should bring their inhaler and consult with their primary care physician prior to beginning any Brainspotting. Participants acknowledge that Brainspotting may involve a test of a person's physical and mental limits and may carry with it the potential for death, serious injury, and property loss.

The risks may include, but are not limited to, those caused by lack of hydration, condition of participant, equipment, Internet connection, and actions of others, as well as physical or psychological injury, pain, suffering, illness, disfigurement, temporary or permanent disability (including paralysis), economic or emotional loss, and death. Participant understands that these injuries or outcomes may arise from participant’s own or others' negligence.

2) Voluntary Participation / Assumption of the Risk for Brainspotting

Participant has been adequately informed of all risks, dangers, and possible side effects of Brainspotting. In consideration of being allowed to participate in Brainspotting, Participant hereby personally assumes all such risks connected with this instruction, and further releases QUANTUM MINDFRAME and Esmeralda Verma for any injury or damage which may be incurred while participating in Brainspotting or thereafter, including all risks connected therewith, whether foreseen or unforeseen. Participant will hold harmless QUANTUM MINDFRAME and Esmeralda Verma from any claim by Participant or Participant’s family, estate, heirs, or assignees, arising out of Participant’s participation in Brainspotting. Participant further confirm that they are legally competent to agree to this Release, they understand the terms herein are contractual and legally binding, and are freely and voluntarily agreeing to them. In the event that Participant should require medical care or treatment, Participant agrees to be financially responsible for any costs incurred as a result of such treatment. Participant is aware and understands that Participant should carry his/her own health insurance.

You warrant that you do now hereby EXPRESSLY, KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS OF HARM. You understand and warrant that you have accurately assessed your own emotional, mental and physical wellbeing, and have determined, of your own free will, that you are capable of participating in Brainspotting.

3) Virtual Session Risks for Brainspotting

Due to the virtual, style of any Group Coaching sessions, QUANTUM MINDFRAME may not be able to see if Participant is struggling, performing the exercise incorrectly, or otherwise in need of assistance or correction. Participant understands this virtual setting may bring with it additional requirements for Participant to engage in self-assessment and utilize increased body and mind awareness while participating in Group Coaching. QUANTUM MINDFRAME will do their best to provide instruction, guidance, and opportunities for Participant to self-assess, but Participant understands this increased responsibility, and that QUANTUM MINDFRAME is NOT in any way responsible or liable if Participant becomes injured, ill, or otherwise suffers a negative response to the virtual Group Coaching session. If at any time during Group Coaching Participant feels dizzy, unwell, is in pain, or otherwise feels as though he/she should not continue, Participant will immediately stop all participation in Group Coaching and seek medical attention.

4) Style of Brainspotting

Participant acknowledges that there are various approaches and styles of Brainspotting, some of which may be more intense and require individualized instruction, close supervision, or clinical support. Such practices, sometimes referred to as “Activation Brainspotting” are not appropriate for group coaching settings.

QUANTUM MINDFRAME does NOT provide, facilitate, or claim to offer Activation Brainspotting.

QUANTUM MINDFRAME facilitates Expansion Brainspotting and Resource Brainspotting in Group Coaching.

Expansion Brainspotting focuses on building positive neural networks, cultivating positive states and strengths, increasing confidence and creativity, enhancing performance, and creating a sense of flow or well-being.

Resource Brainspotting focuses on building internal strengths, finding calm, increasing resilience, grounding and providing a buffer for gentle processing.

QUANTUM MINDFRAME may also facilitate Gazespotting and Bodyspotting within the context of Expansion Brainspotting and Resource Brainspotting. Gazespotting and Bodyspotting are styles of Brainspotting which can help facilitate the group Brainspotting experience and a mind-body connection.

QUANTUM MINDFRAME does NOT provide, facilitate, or claim to offer any style of Brainspotting to address mental health conditions, or psychological disorders. All styles of Brainspotting offered by QUANTUM MINDFRAME are focused on personal development, goal setting, performance enhancement, and other non-clinical aspects of your life.

Specific or desired outcomes of Brainspotting cannot be guaranteed.

Trauma Disclosure

While some participants may experience personal insights, emotional release, or perceived therapeutic benefits as a natural byproduct of self-reflection, group interaction, or personal awareness, Esmeralda Verma does not provide trauma treatment, trauma therapy, or clinical intervention within Group Coaching.

Any trauma-related processing or personal transformation that may occur arises from the Participant’s own internal processes and individual capacity for reflection and growth, and not from Esmeralda Verma providing diagnosis, treatment, or facilitation of trauma-related care.

Group Coaching services are non-clinical and are not intended to diagnose, treat, heal, or resolve trauma. Participants seeking trauma-focused or therapeutic support are encouraged to work with a licensed mental health professional or other qualified provider outside of Group Coaching.

Psychotherapy and Health Disclosure

Group Coaching is not a substitute for psychotherapy or psychiatric treatment. You understand and acknowledge that any value you obtain from Group Coaching, you obtain via your own free will and participation. You understand that during Group Coaching, Esmeralda Verma is engaging with you strictly in her capacity as a coach, not as a therapist. You understand that although Esmeralda Verma is a licensed therapist, Esmeralda Verma is NOT your therapist and does NOT provide nor claim to provide any psychotherapy treatment, advice or diagnosis through Group Coaching.

You understand that Group Coaching is Not Therapy: While Esmeralda Verma is a licensed therapist, the Group Coaching services Esmeralda Verma provides are focused on personal development, goal setting, performance enhancement, and other non-clinical aspects of your life. Coaching is not intended to address mental health conditions, or psychological disorders. You understand that the services provided in Group Coaching will be limited to the coaching framework, and no therapeutic or clinical interventions will be made.

You understand that no psychotherapy is provided: Group Coaching does not include psychotherapy or treatment for mental health issues, and Esmeralda Verma will not engage in providing therapy, counseling, or any other form of mental health treatment during Group Coaching. As such, the information shared in sessions is not protected under HIPAA (the Health Insurance Portability and Accountability Act), nor is it covered by any professional confidentiality laws.

Neither QUANTUM MINDFRAME, Esmeralda Verma, the staff of Group Coaching, the coaches, course leaders of Group Coaching, nor the owners and agents of the premises where Group Coaching is conducted are providing psychotherapy, psychiatric treatment, medical advice or diagnosis. Nothing contained on the QUANTUM MINDFRAME website, social media or through Group Coaching should be construed as such advice or diagnosis. The information generated by QUANTUM MINDFRAME should not be interpreted as a substitute for psychological, psychiatric or physician consultation, evaluation, or treatment. You are urged and advised to seek advice from your psychotherapist, psychiatrist and physician before beginning any Group Coaching or regimen. The QUANTUM MINDFRAME website, social media, and Group Coaching services are intended for use only by healthy adult Individuals.

Spiritual Practice Disclosure

Some components of Group Coaching are based on Esmeralda Verma’s innate spiritual connection and personal practice as a spiritual creative. These services are intended to support spiritual well-being by assisting in the clearing and realignment of personal energy.

Esmeralda Verma is NOT a shaman, nor does she claim any formal shamanic training or lineage. The spiritual components of Group Coaching are intuitive and spirit-guided, grounded in personal experience and spiritual sensitivity rather than conventional or certified training.

Esmeralda Verma is NOT an energy healer, religious counselor, spiritual advisor affiliated with any organized religion, priest, minister, rabbi, imam, or ordained spiritual leader of any kind. Group Coaching does not constitute energy healing, religious counseling, sacramental guidance, or pastoral care. Group Coaching is NOT a substitute for a professional shaman or a shamanic ceremony.

While many participants experience meaningful benefits from Group Coaching, results may vary, and no specific outcome is guaranteed. Your experience will depend on your openness, personal belief system, and energetic receptivity.

You agree that you are engaging in a spiritual service provided by a self-identified spiritual creative. You acknowledge that Esmeralda Verma does not hold formal certifications or professional credentials in shamanism or energy healing. You take full responsibility for your own spiritual well-being before, during, and after Group Coaching sessions.

Sound-Based Activities Disclosure:
Group Coaching sessions may include sound-based activities, including live music or sound bath experiences. These activities are provided as non-clinical, experiential components of coaching. Esmeralda Verma is not a sound healer, and no sound-based activities are intended to diagnose, treat, or heal any physical or mental condition.

Participant Interactions and Personal Relationships:
You acknowledge that, from time to time, participants in Group Coaching may form personal or romantic connections with one another, as attendees often share common interests in spirituality, personal development, and personal growth, including cultivating meaningful relationships. While such connections may occur as an incidental and voluntary outcome of group participation, Group Coaching is NOT marketed, intended, or guaranteed to function as dating or matchmaking events.

QUANTUM MINDFRAME does not facilitate, encourage, supervise, or screen personal or romantic interactions between participants and is not responsible or liable for any personal, emotional, relational, health, financial, or safety issues that may arise from relationships formed between participants inside or outside of group events. Participants assume full responsibility for their own conduct, boundaries, and decisions regarding any relationships with other participants.

Booking Sessions

Group Coaching can be conducted either in a set number of sessions, or on a “as needed” basis, to be determined by participant and QUANTUM MINDFRAME.

With a set number of sessions, Participant schedules 2-4 sessions at a time.

With as needed sessions you schedule one (1) Group Coaching session at a time There is no guarantee for the same day or time for a scheduled session. QUANTUM MINDFRAME’S schedule may be full during some months and there is a possibility that sessions may not be available on some months.

Full payment is required at the time of booking for each session.

Service Fees

Group Coaching 60-minute online session $97 USD per session

Pack of 4 Group Coaching 60-minute online sessions: $360 USD (Discounted rate of $90/per session)

Fees for Group Coaching (“Service Fees”) Payment is to be made at the time of booking each session. Future sessions will not be scheduled until the latest session has been paid for in full.

By participating in Group Coaching you hereby authorize QUANTUM MINDFRAME to charge your card on file for Group Coaching.

You are responsible for updating the debit or credit card on file with QUANTUM MINDFRAME to avoid any disruptions in Services due to non-payment. QUANTUM MINDFRAME reserves the right to discontinue or suspend Services for non-payment and, if necessary, send your account to a collection agency.

QUANTUM MINDFRAME offers a Group Coaching service that is fully paid for at the time of booking each session. If there is a balance from an unpaid session, QUANTUM MINDFRAME cannot schedule you for another session until the balance has been paid in full.

No portion of any payment can be pro-rated or credited to another service, product or participant.

Session Package Expiration

Participant may choose to purchase a package of four (4) online Group Coaching sessions. All session packages expire one (1) year from the date of purchase, regardless of whether all sessions have been used.

Participant is solely responsible for scheduling and using sessions within the expiration period. QUANTUM MINDFRAME is not obligated to extend expiration dates, provide additional sessions, or offer alternative accommodations if a participant waits until the end of the expiration period and sessions are no longer available.

Unused or expired sessions are non-refundable. No refunds, credits, or extensions will be provided for sessions not used prior to the expiration date, including circumstances where fewer sessions are offered or available near the end of the one-year period. By purchasing a session package, the participant acknowledges and agrees to these terms.

Gift Certificate Policy

Gift certificates do not expire and may be applied toward eligible Group Coaching sessions when such sessions are available.

Participant acknowledges that QUANTUM MINDFRAME reserves the right to modify, pause, or discontinue Group Coaching services at any time, including for extended periods or indefinitely. Availability of Group Coaching sessions is not guaranteed, and QUANTUM MINDFRAME is not obligated to offer sessions solely for the purpose of redeeming unused gift certificates.

Gift certificates are non-refundable, non-transferable, and may not be redeemed for cash, credit, or refunds, even if Group Coaching sessions are no longer offered or available.

By purchasing or using a gift certificate, the participant acknowledges and agrees to these terms.

Refund, Cancellation, and Rescheduling Policy

To ensure fairness to all participants and to support a well-organized Group Coaching experience, the following refund and rescheduling policies apply:

1. Coach-Initiated Cancellation

If QUANTUM MINDFRAME cancels a scheduled Group Coaching session, participants will be offered the choice to:

Reschedule and attend a future group coaching session at no additional cost, or
Receive a refund for the canceled session.

2. Minimum Enrollment Requirement

Group Coaching sessions require a minimum of three (3) participants to ensure productive group experience.

If fewer than three participants enroll, then QUANTUM MINDFRAME may cancel the session. In this case, enrolled participants will have the option to:

Reschedule to a future group coaching session, or
Receive a refund for the canceled session.

3. Participant Cancellation

If a participant cancels their session more than seventy-two (72) hours before the scheduled Group Coaching, they are eligible for a refund.
If a participant cancels within seventy-two (72) hours of the session start time, no refund will be issued. This policy helps ensure that participants on the waitlist have a fair opportunity to attend.

4. Participant Rescheduling

If a participant reschedules more than seventy-two (72) hours before the scheduled session, the session fee will be applied to the new session date.
If a participant reschedules within seventy-two (72) hours of the session start time, the original session fee is forfeited and charged as a rescheduling fee, and the participant must purchase a new session to attend at a later date. This policy ensures fair access for other participants and supports session planning.

5. Package purchases

Session packages are offered at a discounted rate and are non-refundable once purchased, regardless of attendance, satisfaction, or participation.

· In the event that QUANTUM MINDFRAME cancels a Group Coaching session that is part of a package, the participant will receive a credit for the canceled session, which may be applied to a future Group Coaching sessions at no additional charge. No refunds will be issued for canceled package sessions.

· Package sessions are subject to all other scheduling, expiration, and participation terms of this agreement.

· Package credits may only be applied to future Group Coaching sessions and have no cash value.

6. Technology Issues

· Participants are responsible for ensuring they have a reliable internet connection, functional audio and video capability, and access to the required video-conferencing platform prior to the start of each online Group Coaching session.

· If a participant is unable to join, remain connected to, or complete an online Group Coaching session due to internet problems, device issues, software troubles, power outages, or any other technology malfunctions on the participant’s side, this does not qualify for a refund, credit, or complimentary makeup session.

· If the QUANTUM MINDFRAME experiences technology issues that prevent the Group Coaching session from being conducted, the session will be rescheduled at no additional cost to the participant.

No Other Refunds

No refunds, credits, or exceptions will be provided outside of the circumstances described above. No portion of any payment can be pro-rated or credited to another service, product or participant.

Satisfaction Disclaimer:
Coaching is a subjective and experiential process. A participant’s dissatisfaction with the coaching experience, group format, content, or perceived outcomes does not constitute grounds for a refund.

QUANTUM MINDFRAME may choose to waive a rescheduling or cancellation fee at QUANTUM MINDFRAME’S discretion on a case-by-case basis. If QUANTUM MINDFRAME waives a fee this is not an indication or guarantee that future fees will be waived. QUANTUM MINDFRAME may change any one or more of the refund, cancellation and rescheduling policies from time to time with written notice to the participant.

Fraudulent Chargebacks
If a participant files a chargeback by falsely reporting fraud or unauthorized use of their payment method, QUANTUM MINDFRAME reserves the right to terminate the participant’s access to all current and future Group Coaching services, and pursue recovery of the disputed amount, which may include referring the account to a third-party collection agency.

Delivery of Services

Group Coaching will be delivered online, via online apps or platforms. QUANTUM MINDFRAME currently uses Zoom as the main online interface and may change any one or more of the online apps/platforms from time to time.

Video Coaching
You understand that you are about to engage in a video Group Coaching session(s) with QUANTUM MINDFRAME. You understand that the video conferencing technology will not be the same as an in-person session with a coach due to the fact that you will not be in the same room as QUANTUM MINDFRAME. You also understand that, in order to have the best results for Group Coaching, you should be in a quiet place with limited interruptions when you start the session.

You understand the potential risks to this technology, including interruptions, unauthorized access and technical difficulties. You understand that you or QUANTUM MINDFRAME can discontinue the video Group Coaching session if it is felt that the video-conferencing connections are not adequate for the situation.

You agree to NOT record your sessions with QUANTUM MINDFRAME. This includes both video and audio.

You understand that there are alternatives to video coaching sessions available, including the option of finding another coach to see in-person if available in your area.

Single-Participant Policy

Purchase of a Group Coaching session grants access to one individual participant only. Sessions may NOT be shared with, observed by, or attended by any additional individuals without the QUANTUM MINDFRAME’S prior written consent. If QUANTUM MINDFRAME becomes aware that a participant has another person physically present and actively participating, listening, or observing during a session without approval, this is considered a violation of the group coaching agreement. In the event of unauthorized participation, QUANTUM MINDFRAME reserves the right to Terminate the session immediately, decline future session bookings, and/or Deny participation in group coaching programs at QUANTUM MINDFRAME’S discretion. This guideline helps maintain the integrity, safety, and intended scope of the coaching environment, and ensures that all participants receive the services they have individually purchased.

Limitation of Services

QUANTUM MINDFRAME does not provide any services outside of Group Coaching such as, but not limited to letter writing, sharing of coaching notes, or coordination of services with agencies or professionals.

Communication and Scope of Support

QUANTUM MINDFRAME is not immediately available by telephone. If you need to contact your coach between sessions, please use the main online interface designated by QUANTUM MINDFRAME between sessions. The following email coaching@quantummindframe.com may be used as a backup form of communication if you do not have access to main online interface designated by QUANTUMMINDFRAME.

Communication between the participant and QUANTUM MINDFRAME outside of scheduled Group Coaching sessions is limited to brief, logistical, or administrative matters (such as scheduling, access links, or technical questions). The Coach does not provide individualized coaching, counseling, or therapeutic support through messages, email, or other communications outside of sessions.

During Group Coaching sessions, the QUANTUM MINDFRAME may respond to general questions related to the group topic or coaching framework. However, if a question becomes lengthy, individualized, or focused on a participant’s specific personal, emotional, or mental health concerns, QUANTUM MINDFRAME may decline to address it in the group setting and may suggest that the participant seek support through an appropriate alternative resource, such as an individual coach, licensed therapist, or other professional.

Participation in Group Coaching does NOT establish an individual coaching relationship or a therapist–client relationship. QUANTUM MINDFRAME does not serve as a participant’s individual coach or therapist within the group coaching format.

Community Messaging Group Disclosure

QUANTUM MINDFRAME may offer an optional group messaging community (such as WhatsApp) to allow participants to connect informally and build community. Participation is voluntary and is not required to receive Group Coaching.

The community messaging group is not a coaching or therapy space. QUANTUM MINDFRAME does not provide individualized coaching, counseling, therapeutic support, crisis response, or clinical services through group messaging platforms. Participation in the group does not create an individual coaching relationship or a therapist–client relationship.

The group is provided for general connection and peer discussion and is not actively moderated. QUANTUM MINDFRAME may observe or participate at times but is not responsible for monitoring, supervising, or responding to messages, and responses are not guaranteed.

Participants are responsible for their own boundaries and for what they choose to share. Confidentiality cannot be guaranteed in group messaging environments, and participants acknowledge the risks associated with sharing personal information in a group setting. Participants agree not to record, copy, screenshot, share, or distribute group messages or content outside of the group; however, participants understand and acknowledge that QUANTUM MINDFRAME cannot control or enforce the actions of other participants.

Participants agree not to send private or direct messages to other group members unless both parties mutually and explicitly consent to such communication.

QUANTUM MINDFRAME reserves the right, but not the obligation, to remove participants who violate group guidelines, remove content, or discontinue the group at any time in order to maintain appropriate boundaries, safety, or group integrity.

Termination

If at any point during Group Coaching your coach assesses that you are not a good fit for Group Coaching, your coach will discuss this with you and terminate Group Coaching. If you do not keep your scheduled sessions and do not respond to communications from your coach, the assumption is that you have elected to terminate Group Coaching, and your case will be closed. There is no guarantee for Group Coaching services and QUANTUM MINDFRAME may terminate Group Coaching with you at any time.

Insurance

You understand and acknowledge that QUANTUM MINDFRAME does not provide any insurance, including health insurance, to participants in Group Coaching. Should you so desire, insurance, including health insurance, must be purchased and paid for solely by you.

You understand and acknowledge that Group Coaching is not covered by insurance and NOT considered a medical expense. You understand that you are expected to pay out of pocket for Group Coaching.

In the event that Participant should require medical care or treatment, Participant agrees to be financially responsible for any costs incurred as a result of such treatment. Participant is aware and understands that Participant should carry his/her own health insurance.

Forensic Fees

If you become involved in legal proceedings that require QUANTUM MINDFRAME’S involvement, you will be expected to pay for all of QUANTUM MINDFRAME’S qualified time. If QUANTUM MINDFRAME is contacted by an attorney regarding your Group Coaching or receives a subpoena to testify with respect to your case (either at your behest or related to a legal matter you are involved in), the fees described below apply, regardless of who issues the subpoena. Due to the complicated and specialized nature of legal involvement, QUANTUM MINDFRAME charges $600/hour, billed in 5-minute increments for all court related services.

A $4,000 retainer is required prior to any preparation or attendance of legal proceedings. This covers the minimum of 6 hours associated with any court-related services. The retainer must be paid prior to the initiation of any court-related services. Depending upon the number of hours that will be estimated to be reserved on QUANTUM MINDFRAME’S calendar, additional fees may apply. The retainer must be paid in full no later than 72 hours prior to the calendared date. These services are not covered by insurance and must be paid out-of-pocket by the participant.

1) What do Forensic Fees Include?

Forensic Fees include the following:

Time spent in communication within the legal system, to include communication with attorneys, guardian ad items, parent coordinators, or preparing/responding to subpoenas.

Time spent corresponding (phone, email) with attorneys, preparing documents, attending depositions and court appearances.

Time spent traveling, preparing, waiting, and testifying and/or attending any legal proceeding.

Time spent preparing for and participating in meetings or phone consultations with other professionals (that you have authorized) related to any forensic, court, or legal matter that you are involved in. This may include, but not limited to a joint meeting with a therapist, medication provider, PCP, school official, etc.

Time spent authoring or preparing an Group Coaching summary or responding to requests for records related to any forensic, court, or legal matter that you are involved in. This includes, but it not limited to report or letter writing to attorneys, courts, physicians, psychiatrists, etc. Please be advised QUANTUM MINDFRAME requires three weeks’ notice in order to complete requests for records, letters, and/or Group Coaching summaries.

If you file a complaint or lawsuit against QUANTUM MINDFRAME you will be charged at the forensic rate for any time spent regarding that charge unless a judge orders otherwise.

2) Additional Fees

You will also be charged for any fees QUANTUM MINDFRAME is charged for legal consultation and representation by QUANTUM MINDFRAME’S attorneys in relation to any forensic, court or legal matters that you are involved in which require QUANTUM MINDFRAME’S involvement. This will be charged at cost.

You will also be charged for any lodging and transportation fees incurred by QUANTUM MINDFRAME as a result of any forensic, court or legal matters that you are involved in which require QUANTUM MINDFRAME involvement. This will be charged at cost.

You will also be charged for any postage fees, copying/printing fees, notary fees, and fees associated with mailing Group Coaching records via certified mail. This will be charged at cost.

3) Forensic Fees are Non-Refundable and Non-Transferrable

Forensic fees are used by QUANTUM MINDFRAME to review your file and prepare for Court. QUANTUM MINDFRAME is likely to be canceling regularly scheduled appointments and blocking out time on their calendar to be present for testimony or deposition, as requested. As QUANTUM MINDFRAME is reserving that time on their calendar for you, as well as time spent preparing to testify in advance of any hearing, these fees (including the retainer fee) are nonrefundable/nontransferable (i.e., if Court is delayed/rescheduled, the fee does not apply to a future Court date; new fees will be assessed specifically to again reserve the time on QUANTUM MINDFRAME’S calendar).

4) Unpaid Balances and Collections for Forensic Fees

If payment for forensic services is not received within [3] days of invoicing, QUANTUM MINDFRAME reserves the right to pursue collection of the unpaid balance. If the matter is referred to a collection agency, only the minimum necessary information will be disclosed (e.g., your name, dates of service, and balance owed).

You will be responsible for any collection fees, legal costs, or additional charges incurred in the process of recovering the unpaid balance. QUANTUM MINDFRAME will make reasonable attempts to contact you and resolve the balance directly before involving a third party.

Emergency Procedures

Please do not text, email or leave a phone message to QUANTUM MINDFRAME if you are experiencing an emergency. In an emergency, please call 911 or go to your nearest emergency room.

If you experience an emergency during your Group Coaching session, or if QUANTUM MINDFRAME becomes concerned about your personal safety or the possibility of you injuring someone else, QUANTUM MINDFRAME may contact emergency services (911) and provide any information about you to emergency services (911). QUANTUM MINDFRAME makes no claim or guarantee of confidentiality to you in any circumstances that may be interpreted by QUANTUM MINDFRAME as a possible emergency or danger to yourself or others.

If you commit a crime against QUANTUM MINDFRAME, QUANTUM MINDFRAME can notify law enforcement and press charges. QUANTUM MINDFRAME makes no claim or guarantee of confidentiality to you in any circumstances that may be interpreted by QUANTUM MINDFRAME as a possible danger to QUANTUM MINDFRAME.

Proprietary Materials Agreement

You understand that all materials, concepts, and information (collectively "Materials") presented by QUANTUM MINDFRAME during Group Coaching, either orally or in writing, are the proprietary property of QUANTUM MINDFRAME, are confidential and are protected by applicable laws. All rights in Group Coaching and the Materials are expressly reserved by QUANTUM MINDFRAME. You agree not to appropriate, reproduce, copy, scan, photograph, disseminate, duplicate, distribute, transfer or lend the Materials without the prior written consent of QUANTUM MINDFRAME. You agree not to use the Materials in any way that would compromise the confidential and proprietary nature of the Materials. You understand that the Materials are intended solely for use in Group Coaching and you agree that you will only use the Materials for your own personal use unless you first obtain the prior written permission of QUANTUM MINDFRAME to use the Materials for another purpose. You agree not to use or deliver the Materials, either orally or in writing, or make the Materials available for use to any person or entity, in any form whatsoever, including in a form derived from the Materials, in, or as part of any seminar, schooling, program, activity, or course of study howsoever defined, except with the prior written consent of QUANTUM MINDFRAME

Media Release

Participant hereby grants and authorizes QUANTUM MINDFRAME the right to record, photograph, or capture their likeness, voice, or written comments testimonials and endorsements of Group Coaching and to use such media in the following ways:

Promotional or marketing materials (website, social media, brochures)
Educational content or training materials
Online courses, webinars, or workshops
Internal review or documentation

All media shall belong to and be owned by QUANTUM MINDFRAME. This authorization shall continue indefinitely, unless said authorization is revoked in a writing signed by Participant.
Media used for public purposes will not identify Participants by full name unless the Participant provides explicit, separate written permission. Participants understand that full confidentiality cannot be guaranteed when sessions are recorded or media is shared in group settings.

Participants may opt out of being recorded or photographed by notifying the QUANTUM MINDFRAME in advance. QUANTUM MINDFRAME cannot guarantee removal of materials already published or distributed.

You understand that participation in media activities is voluntary and that you will NOT receive compensation or royalties for the use of media captured during Group Coaching activities.

By participating in Group Coaching, the participant acknowledges they have read, understood, and agreed to the terms of this Media Release Policy.

In-Person Events

From time to time, QUANTUM MINDFRAME may offer in-person Group Coaching events as special, standalone offerings. These events are optional, offered at QUANTUM MINDFRAME’S discretion, and are not guaranteed to occur as part of any coaching program or agreement.

All terms, conditions, agreements, acknowledgments, and releases of liability contained in this document apply fully and equally to any in-person Group Coaching events to the same extent as they apply to online Group Coaching sessions.

Participation in in-person Group Coaching is not guaranteed, and the Coach makes no representations regarding the frequency, availability, scheduling, or continuation of in-person events. In-person offerings may be modified, postponed, or discontinued at any time.

Purchase of, or participation in, online Group Coaching does not create any entitlement to in-person sessions.

You acknowledge that participation in in-person Group Coaching events may involve additional inherent risks associated with physical attendance in shared spaces, travel to and from the event, proximity to other participants, and group interaction, and that participation is voluntary.

QUANTUM MINDFRAME reserves the right to limit attendance, modify group size, and establish eligibility or participation requirements for any in-person Group Coaching event.

Pricing for in-person Group Coaching events may vary and is determined solely by QUANTUM MINDFRAME. Fees for in-person events are separate from online Group Coaching sessions and will be disclosed at the time of registration, if applicable.

Special Guest Facilitators
From time to time, QUANTUM MINDFRAME may invite a special guest to assist in leading or facilitating an in-person Group Coaching event. Special guests may include, but are not limited to, individuals such as Reiki practitioners, Reiki Masters, sound practitioners, shamans, or other wellness professionals.

These guests operate independently and are not employees, agents, or representatives of QUANTUM MINDFRAME. QUANTUM MINDFRAME does not supervise, direct, or control the methods, teachings, or services offered by any special guest and makes no guarantees regarding the nature, quality, safety, or effectiveness of any guest’s contribution.

By choosing to attend an event that includes a special guest, the participant acknowledges and agrees that:

Participation is voluntary and at the participant’s own risk, and
Esmeralda Verma and QUANTUM MINDFRAME are NOT responsible or liable for any actions, omissions, advice, practices, or services provided by a special guest, nor for any outcomes arising from the participant’s choice to participate in guest-led portions of the event.

Participants who prefer not to participate in guest-facilitated activities may notify the QUANTUM MINDFRAME in advance; however, the presence of a special guest does not create grounds for refunds.

No Guarantee of Outcomes:
Participant acknowledges that any testimonials, statements, photographs, or examples presented in marketing materials or on the QUANTUM MINDFRAME website are provided solely to illustrate potential experiences or outcomes. Such examples are not intended as guarantees and do not represent that similar or specific outcomes will be achieved by all participants. Group Coaching experiences and outcomes depend on numerous individual factors outside QUANTUM MINDFRAME’S control.

Release of Liability

Upon execution of this Release, you do hereby expressly, freely, knowingly and voluntarily forever release and hold harmless Group Coaching, QUANTUM MINDFRAME, Esmeralda Verma, QUANTUM MINDFRAME’s staff and/or employees, their families, heirs, assigns and executors (collectively “Parties Released”) from any and all claims, injuries, liabilities, losses, expenses, costs, attorney's fees, damages, or actions arising from or directly or indirectly related to your participation in Group Coaching, regardless of the nature of such claims. You further covenant not to sue or to make demand upon the Parties Released, or each of them, or any of them, by reason of any injury or claim, howsoever defined, which resulted from your participation in Group Coaching. In executing this Release, you agree to bind yourself, your family, your heirs, your assigns, your representatives and personal representatives.

Assumption of Risk

You represent that you are at least eighteen (18) years of age.

You understand that the content, nature and scope of Group Coaching is controversial. You understand that not all of the activities which may occur during Group Coaching are known, foreseeable, or capable of becoming known or foreseeable. You understand that your decision to participate in Group Coaching is made freely, voluntarily and knowingly. In executing this Release, you warrant that there are certain inherent risks, emotional and mental, in Group Coaching and you warrant that you do now hereby EXPRESSLY, KNOWINGLY AND VOLUNTARILY ASSUME ALL SUCH RISKS OF HARM.

You understand and warrant that you have accurately assessed your own emotional, mental and physical well being, and have determined, of your own free will, that you are capable of participating in Group Coaching. In this regard, you warrant that you, within seven (7) days of your execution of this Release, have disclosed any emotional, mental or physical condition which you may have. In the event that Group Coaching does not receive from you, within (7) days of your execution of this Release, documentation relating to any emotional, mental or physical condition which you may have, Quantum Mindframe shall deem that there is no known impediment in your participation in Group Coaching.

You understand that you are ultimately responsible for creating and implementing your own physical, mental and emotional well-being, decisions, choices, actions and results. As such, you agree that QUANTUM MINDFRAME, Esmeralda Verma, the staff of Group Coaching, the coaches, course leaders of Group Coaching, and the owners and agents of the premises where Group Coaching is conducted are NOT liable for any actions or inaction, or for any direct or indirect result of any Services.

You understand that Group Coaching is NOT a substitute for professional advice by legal, mental, medical or other qualified professionals and you will seek independent professional guidance for such matters.

Participant will hold harmless QUANTUM MINDFRAME and Esmeralda Verma from any claim by Participant or Participant’s family, estate, heirs, or assignees, arising out of Participant’s participation in Group Coaching. Participant further confirm that they are legally competent to agree to this Release, they understand the terms herein are contractual and legally binding, and are freely and voluntarily agreeing to them. In the event that Participant should require medical care or treatment, Participant agrees to be financially responsible for any costs incurred as a result of such treatment. Participant is aware and understands that Participant should carry his/her own health insurance.

Integration Clause

This Release of Liability and Group Coaching Services Agreement represents the final, expressed intent between the parties and supersedes all other agreements relating to the subject matter of this Release of Liability and Group Coaching Services Agreement, whether oral or written. This Release of Liability and Group Coaching Services Agreement contains all the covenants and promises made between the parties relating to the subject matter of this Release of Liability and Group Coaching Services Agreement and the parties acknowledge that no promises, representations, inducements or other agreements have been made by, or on behalf of, QUANTUM MINDFRAME, Esmeralda Verma, and the staff of Group Coaching other than those promises, representations and inducements contained in this Release of Liability and Group Coaching Services Agreement. No statement, promise or representation which is not contained in this Release of Liability and Group Coaching Services Agreement shall be valid or binding upon QUANTUM MINDFRAME, Esmeralda Verma, and the staff of Group Coaching, the course leaders of Group Coaching, or the owners and agents of the premises where Group Coaching is conducted. This Agreement may only be modified in a written instrument signed by all Parties.

Further Assurances

The parties to this Release of Liability and Group Coaching Services Agreement shall, at their own cost and expense, execute and deliver such further documents and instruments and shall take such other actions as may be reasonably required or appropriate to evidence or carry out the intent and purposes of this Release of Liability and Group Coaching Services Agreement.

Disclaimers of Warranties

PLEASE NOTE THE FOLLOWING IMPORTANT DISCLAIMERS OF WARRANTIES: THE SERVICES, OFFERINGS, CONTENT AND MATERIALS ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. QUANTUM MINDFRAME, Esmeralda Verma, and the staff of Group Coaching DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, COMPATABILITY, SECURITY, ACCURACY OR NON-INFRINGEMENT. ANY PRODUCT, OFFERING, CONTENT AND MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES (AND THE WEBSITE) IS DONE AT YOUR SOLE RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH PRODUCT, OFFERING, CONTENT OR MATERIAL (INCLUDING, WITHOUT LIMITATION, THE FEE-BASED PRODUCTS). NEITHER THE COMPANY NOT ITS AFFILIATES, NOR ANY OF OUR OR THEIR RESPECTIVE LICENSORS, LICENSEES, SERVICE PROVIDERS OR SUPPLIERS WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE PRODUCTS, OFFERINGS, CONTENT AND MATERIALS IN THIS WEBSITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. FURTHER, PLEASE NOTE THAT NO ADVICE OR INFORMATION, OBTAINED BY YOU FROM OUR PERSONNEL OR ANY COACH OR THROUGH THE COACHING WEBSITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY PROVIDED FOR IN THIS AGREEMENT.

Force Majeure

The Company and/or its affiliates and/or the independent coaches shall not be held responsible for any events beyond their respective control, regardless of whether occurring at your or our location or any other location where the Services shall be rendered, including, but not limited to, acts of God, natural disasters, weather, war, terror attacks, strikes or other disruptions, political instability, epidemics, government restrictions or for acts or omissions of persons or agencies not directly controlled by the Company and/or its affiliates and/or the coaches. If Services are not rendered by us due to force majeure, you are not entitled to get a refund.

Binding Nature of Release

This Release of Liability and Group Coaching Services Agreement shall be binding upon and inure to the benefit of the parties to this Release of Liability and Group Coaching Services Agreement, and their respective successors, heirs, assigns and personal representatives.

Amendments

The terms and conditions of this Agreement may not be amended or modified without the express written consent of QUANTUM MINDFRAME.

Assignment

You may not assign your rights or delegate your duties under this Agreement without the prior written consent of QUANTUM MINDFRAME. The Services are not transferable.

Arbitration

All claims you may have as against QUANTUM MINDFRAME or Esmeralda Verma, including claims related to the interpretation and/or enforceability of this Agreement, or any part of this Agreement ("Arbitrable Claims") shall be resolved by binding arbitration. Arbitration shall be final and binding and shall be the exclusive remedy for all Arbitrable Claims. Arbitration of Arbitrable Claims shall be conducted in accordance with JAMS’s Arbitration Rules and Procedures, as amended. You may initiate arbitration by filing a “Notice of Arbitration” with JAMS pursuant to the Rules of JAMS. YOU HEREBY WAIVE ANY RIGHTS YOU MAY HAVE TO TRIAL BY JURY RELATING TO ANY ARBITRABLE CLAIMS.

Review of Release and Group Coaching Services Agreement

You acknowledge that you have participated fully and intelligently in the review and revision of this Release of Liability and Group Coaching Services Agreement. Any rule of construction which operates to, or purports to operate to, resolve any ambiguity or ambiguities that may exist in this Release and Group Coaching Services Agreement against the drafting party shall not apply in interpreting this Release and Group Coaching Services Agreement.

Severability

If a court of competent jurisdiction holds any provision of this Release of Liability and Group Coaching Services Agreement to be illegal, unenforceable, or invalid in whole or in part for any reason, the validity and enforceability of the remaining provisions, or portions of them, shall not be affected.

Choice of Laws

This Release of Liability and Group Coaching Services Agreement, and any dispute arising from the relationship of the parties to this Release of Liability and Group Coaching Services Agreement, shall be governed by the laws of the State of California.

Venue

The exclusive venue for the resolution of any Arbitrable claims shall be JAMS.

I have read the information in this document and agree to abide by the contents and terms of this Release of Liability and Group Coaching Agreement and consent to participate in Group Coaching. I fully understand the contents of this document including the risks and benefits of the procedures. I have been given an opportunity to ask questions, and any questions have been answered to my satisfaction. I agree to participate in Group Coaching session(s) with QUANTUM MINDFRAME. I acknowledge that I am the participant, and I agree to be bound and abide by this Release of Liability and Group Coaching Agreement.
